Information about the conclusion of an agreement with the Ministry of Labour and Social Policy

The subject matter of the Agreement is to maintain the efficiency of the utility Software "OU POMOST/ POMOST Std" facilitating the implementation of tasks in the field of social welfare and prevention of domestic violence in the Social Welfare Organizational Units.


Sygnity S.A. with its registered office in Warsaw ("Sygnity", "Company") hereby notifies that the Company's Management Board concluded on 1 October 2012 an agreement with the Ministry of Labour and Social Policy with its seat in Warsaw ("Ministry of Labour and Social Policy", "Employer") ("Agreement) worth PLN 21,937,138.15 gross (say: twenty one million nine hundred-thirty seven thousand one hundred-thirty eight 15/100) ("Remuneration").

At the same time the Company notifies that as of the moment of the conclusion of the Agreement, the total value of two agreements concluded by the Sygnity Capital Group with the Ministry of Labour and Social Policy within the last 12 months amounted to PLN 24,024,448.15 gross (say: twenty four million twenty four thousand four hundred-forty eight 15/100), exceeding at the same time 10% of Sygnity's equity.

The subject matter of the Agreement is to maintain the efficiency of the utility Software "OU POMOST/ POMOST Std" facilitating the implementation of tasks in the field of social welfare and prevention of domestic violence in the Social Welfare Organizational Units ("SWOUs").

The Agreement does not contain provisions defining the specific conditions that would differ from those commonly used for this type of agreement.

The Agreement contains provisions concerning liquidated damages in the maximum amount of the equivalent of 50% of the Remuneration. The Employer has reserved the right to seek additional compensation, in excess of the liquidated damages, to the amount of damage actually suffered.

The utility Software "OU POMOST/ POMOST Std" has been implemented in nearly two thousand Social Welfare Organizational Units in Poland. It facilitates the tasks carried out in SWOUs, specified in the Act of 12 March 2004 on Social Assistance (Journal of Laws of 2009 No. 175, item 1362, as amended) and the Act of 29 July 2005 on Counteracting Domestic Violence (Journal of Laws No. 180, item 1493, as amended).
Under the Agreement Sygnity will adjust "OU POMOST/ POMOST Std" to the new legal regulations and to the current version of the system description, introduce a number of functional modifications and will carry out one-day training in the area of operating the Software in newly implemented SWOUs.

Legal basis: § 5 clause 1 item 3) of the Regulation of the Minister of Finance of 19 February 2009 on current and periodic information to be published by issuers of securities and the conditions for recognition as equivalent of the information disclosure of which is required under the laws of a state which is not a Member State (Journal of Laws of 2009 No. 33, item 259, as amended).
