Sygnity S.A. is an IT company that has been operating on the Polish market for over 30 years. In May 2022, we joined the international Total Specific Solutions group. Our main areas of activity are software development, implementation and maintenance, infrastructure and application integration, and IT consulting.
We are looking for an entrepreneurial individual who will join the Sygnity legal team as Legal Counsel in order to oversee the M&A transactions and businesses in CEE region.
Job description:
- Function as the project leader for the legal stream, working closely with the international M&A team and local M&A Managers to pursue acquisitions in CEE region.
- Manage the entire lifecycle of M&A transactions and be responsible for all legal aspects. This includes, amongst others, coordination of due diligence processes, performing legal due diligence, ensuring compliance with applicable laws and regulations, drafting, and commenting on transaction documents, leading negotiations until signing and closing, managing post-closing matters related to a transaction as well as handling integration aspects.
- Lead and coordinate due diligence efforts for potential acquisitions, working closely with cross-functional teams, such as finance, HR, operations, and technology, to assess legal risks and opportunities.
- Provide expert legal advice and guidance to the management team and M&A team regarding M&A-related matters, including deal structures, legal risks, and regulatory requirements.
- Be the first point of contact for legal matters of the business units in the CEE region. This could entail reviewing and negotiating commercial agreements, supporting with legal advice for different internal projects or advising on disputes.
Job requirements:
- 3 to 5 years work experience as a lawyer in a corporate/M&A-position at a law firm.
- Excellent communication skills (in word and writing) in English.
- Thorough knowledge of and extensive experience in running/overseeing M&A transactions independently, preferably within the software or technology industry.
- Strong knowledge of corporate law, securities regulations, and M&A best practices.
- Experienced in commercial contracting.
- Strong analytical skills that allow you to quickly understand and implement legal issues in a pragmatic and simple way.
- Excellent problem-solving and decision-making skills.
- Very strong negotiator with a constructive and solution-oriented approach.
- Tech savviness and openness to work responsibly and efficiently with AI.
